Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "your") and DNA Distribution LLC, a Florida limited liability company ("DNA Distribution," "we," "us," or "our"), governing your access to and use of the website located at dnadistribution.us (the "Site") and any related services, including but not limited to device inquiries, discovery calls, financing applications, and partnership agreements.

By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Site.

Description of Services

DNA Distribution is the exclusive North American distributor of Cryoskin® aesthetic devices and an authorized distributor of icoone® aesthetic devices. Through our Site, we provide information about our products, partnership opportunities, financing options, training programs, and marketing support. Our Site serves as an educational and lead-generation platform for businesses interested in adding premium European aesthetic technology to their operations.

Eligibility

You must be at least 18 years of age and have the legal capacity to enter into binding agreements to use our Site and services. By using the Site, you represent and warrant that you meet these eligibility requirements. Our products and partnership opportunities are intended for licensed businesses, including but not limited to med spas, clinics, wellness centers, resorts, and similar establishments.

Product Information and Pricing

We make every effort to ensure that product descriptions, specifications, and pricing information on our Site are accurate and up to date. However, we do not warrant that product descriptions or other content on the Site are error-free, complete, or current. Pricing displayed on the Site is subject to change without notice. Final pricing, terms, and conditions will be confirmed in your individual partnership agreement.

Partnership Agreements

Purchasing a device through DNA Distribution requires the execution of a separate partnership agreement. These Terms do not constitute a partnership agreement or a commitment to sell or purchase any device. All device purchases are governed by the specific terms and conditions set forth in the applicable partnership agreement, which may include provisions regarding pricing, payment terms, delivery, training, marketing support, warranties, and other matters.

Financing

DNA Distribution partners with third-party financing providers to offer financing options for device purchases. Financing is subject to credit approval and the terms and conditions of the financing provider. DNA Distribution does not guarantee financing approval. All financing terms, including interest rates, repayment schedules, and fees, are determined by the financing provider. Information about financing on our Site is provided for informational purposes only and does not constitute a binding offer of credit.

Marketing Guarantee

DNA Distribution offers a marketing support program as part of certain partnership packages. The specific terms of the marketing guarantee (including "up to 30 clients or 3 months of done-for-you marketing, whichever comes first") are outlined in the individual partnership agreement. Results may vary based on market conditions, location, and other factors. The marketing guarantee does not constitute a guarantee of specific revenue or business outcomes.

Intellectual Property

All content on the Site, including text, graphics, logos, images, videos, and software, is the property of DNA Distribution or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise use any content from the Site without our prior written consent.

The DNA Distribution name and logo are trademarks of DNA Distribution LLC. Cryoskin® is a trademark of Cryoskin Paris. icoone® is a trademark of ICOONE SRL. All other trademarks appearing on the Site are the property of their respective owners.

User Conduct

• Use the Site for any unlawful purpose or in violation of any applicable laws or regulations
• Submit false, misleading, or inaccurate information through any form or communication

Opting out of marketing communications will not affect transactional communications related to an existing partnership agreement.

THE SITE AND ALL CONTENT, MATERIALS, AND INFORMATION PROVIDED ON THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, DNA DISTRIBUTION DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DNA DISTRIBUTION LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SITE OR SERVICES, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY, EVEN IF DNA DISTRIBUTION HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Indemnification

You agree to indemnify, defend, and hold harmless DNA Distribution LLC, its officers, directors, members, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Site, your violation of these Terms, or your violation of any rights of a third party.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or your use of the Site shall be resolved exclusively in the state or federal courts located in Miami-Dade County, Florida. You consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.

Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms shall remain in full force and effect.
